Register of People with Significant Control (PSC)

This new legislation aims to increase the transparency of the ownership and control of UK companies, with the goal of deterring the misuse of companies for illicit activities such as money laundering, corruption and tax evasion. 

Who needs to register ?
The legislation currently applies to all UK Companies and LLPs, who are now required to create a register of people with significant control (PSC). The PSC register will now form part of the Annual Confirmation (which replaces the Annual Return after the 30th June 2016). This register needs to be maintained and any changes should also be filed at Companies House.

For most businesses, particularly owner-managers, creating the register will have been a simple process. However, for those companies with more complex business structures and foreign ownership, compiling the register will have been more involved.

Corporate Directors Prohibited from 31st October

The Small Business, Enterprise and Employment Act 2015 prohibits the use of one company being the director of another company with certain exceptions. Existing corporate structures will automatically cease to be directors on the 31st October 2016.  

Companies will need to consider the impact on their existing arrangements and to ensure that they remain compliant.
