Notice is hereby given that the Committee of The East Malvern Tennis Club (EMTC) calls an EXTRAORDINARY GENERAL MEETING to be held on SUNDAY 30TH AUGUST 2015 at 5.00pm in the Clubhouse of EMTC - 22 Dunlop Street, Malvern East, VIC 3145.

All members have previously received correspondence via email (or mail if no email address supplied) on 30th June 2015 with regards to EMTC migrating from a Company Limited by Guarantee to an Incorporated Association, and updating the Constitution.

Members wishing to exercise a proxy at the Extraordinary General Meeting must submit the attached form to the EMTC office by no later than 5.00pm Thursday 27th August 2015. The proxy must be a current member of EMTC.

4. Consideration of Resolutions:

The following motions are proposed as Special Resolutions within the meaning of the Corporations Act 2001 (Cth):

1. THAT under section 11(1)(a)(i) of the Associations Incorporation Reform Act 2012 (Vic) (Act), The East Malvern Tennis Club (EMTC) applies for registration of the company limited by guarantee under the Act as an incorporated association and that the transfer of its incorporation be effective immediately following the registration of The East Malvern Tennis Club Incorporated as an incorporated association but not before 15 November 2015.

2. THAT, if motion 1 is passed, the existing Constitution of EMTC be replaced with the Constitution attached to this notice as Annexure A with effect from the transfer of incorporation.

The following motions are proposed as ordinary resolutions:

3. THAT, if motion 1 is passed, the members nominate Debra Bolic to be the first secretary of the proposed incorporated association under section 11(1)(d) of the Act.

4. THAT, if motions 1 and 3 are passed, the secretary nominated under motion 3 may perform any act or do anything necessary to secure the incorporation of EMTC in accordance with section 11(3) of the Act.
