Rule 15c2-11: June 30th Application Deadline for Companies
 

Amended SEC Rule 15c2-11 will require that companies quoted on our markets disclose current information on a continuous basis, effective September 28, 2021. Pink companies will need to update their disclosure to ensure they comply with the requirements and remain publicly quoted.

  • Alternative Reporting Companies: Disclosure Guidelines for Alternative Reporting Companies “Current Information” or “Limited Information” Tiers
  • Bank Reporting Companies: Disclosure Guidelines for Bank Reporting Companies “Current Information” or “Limited Information” Tiers
  • International Reporting Companies: Companies that are current in their periodic disclosure and are listed on a Qualified Foreign Exchange that requires disclosure in English will remain in compliance and may continue to be publicly quoted. Other international companies seeking to ensure their ongoing compliance may publish their disclosure directly to OTC Markets for review.

Impacted Pink companies should provide an initial application to OTC Markets by June 30th to ensure that our Issuer Compliance Team has sufficient time to review their market status prior to the rule’s September compliance date. Contact sales@otcmarkets.com to learn more.
 
 
 
Guidance on Dilution Risk for OTCQX and OTCQB Applicants
 

OTC Markets Group recently published Guidance on Dilution Risk, which includes factors considered in the review process to determine the potential for dilution risk concerns. Under OTCQX rules and OTCQB standards, OTC Markets may refuse an application based on dilution risk if it determines that admission of the company’s securities would likely be detrimental to the interests of investors. This determination may be reconsidered if a company takes action to address the concerns, including by enhancing their corporate governance, providing additional disclosure, changing their capital structure, and adding protections for minority investors, among other potential measures.  View the policy here.
