David A. Altro considers the advantages and disadvantages for Canadians holding Florida rental properties in a limited liability partnership

When a Canadian citizen residing in Canada buys rental property in Florida in an LLP, the structure will provide creditor protection to the individual. For example, if ‘Bob’ and ‘Mary’, his wife, (Canadian citizens residing in Canada) purchase a condo in Florida in an LLP, the LLP is the owner of the rental property and Bob and Mary are the partners in the LLP. Should the tenant of the rental property slip and fall then sue for damages, the LLP is sued as the owner of the property but Bob and Mary are creditor protected personally.

Problems
The LLP presents several problems. First, it ends when the first spouse dies, as there must be two parties in a partnership. Now what? Another LLP cannot be created, as you need two partners, and only one is still living.

On the death of the first partner spouse, the estate will be subject to probate in the county in Florida where the real estate is situated. The probate process is time-consuming, freezes the estate and may cost up to 3 per cent of the fair market value of the property (as of the date of the death of the first spouse).

Probate will be required because, under Florida law, LLPs are intangible assets, which must pass through probate on death unless the interest is held in a revocable trust, such as a cross-border trust (CBT). To avoid probate, each spouse needs to have a CBT that ‘owns’ the partnership interest.

Issues that Canadians face when buying U.S. Property

Canadian clients contact the cross border experts at Altro & Associates every day, looking for the perfect structure to buy real estate investment/vacation properties in the United States. With all of the distressed property in the U.S., there is no better time for savvy Canadian investors to purchase American real estate. However, Canadians need to be aware of some of the issues that can trip up investors.

The first issue that Canadians need to be aware of is U.S. probate. Probate is the legal procedure used to settle the property of the deceased. Probate will have to be conducted in the U.S. even if your estate is already probated in Canada. Probate is expensive and time consuming. A Florida attorney is allowed by statute to charge 3% of the fair market value of your U.S. assets as a probate fee.

The second issue that Canadians need to be aware of is incapacity. If a property is held in the names of two or more people (such as husband and wife) and one person becomes incapacitated, the property will effectively be frozen. A costly and time consuming guardianship procedure will need to be undertaken to un-freeze the property.

New U.S. property tax rules hit home

A strong loonie and depressed U.S. real estate prices have led to a buying binge south of the border by Canadians. We’re now the largest non-American buyers of U.S. real estate. Many purchasers, however, have only a vague idea of what they’ve committed to from a tax and legal standpoint.

“There’s a presumption among people that the laws must be the same in the U.S. and Canada. A lot find out otherwise only after they buy,” said David Altro, a Montreal lawyer who also practices in the United States.

Altro, who specializes in cross-border tax, property and estate-planning issues, is the author of a 2009 guidebook titled Owning U.S. Property - The Canadian Way.

There’s no time like the present!

Your U.S. vacation home held in a corporation may turn yesterday's nightmare into today's opportunity

The United States housing market crash of 2008 brought on heavy heartache, discouragement and depression to property owners throughout the country. If you are a Canadian resident who owns U.S. real estate in a corporation, there is an opportunity for you to benefit from this unfortunate crisis.

One major disadvantage of holding U.S. property in a corporation is the extremely high capital gain tax rate. The U.S. capital gain tax rate is 35%, plus an additional 5.5% if the property is in Florida. (This additional rate varies from state to state.) Capital gain tax will be triggered the moment you sell your property out of the corporation and into a new structure. Generally, the fair market value of real estate has been at a standstill since the 2008 crash. Property values have not yet begun to rise, but we suspect that they will over the next few years. It is up to you to take advantage of this opportunity while property values are still low. In order to save the high U.S. corporate capital gain tax of a future sale with profit, you may want to consider selling your property into a more tax efficient structure sooner rather than later in order to benefit from lower capital gain tax expenses.

David A. Altro explique les avantages et les désavantages pour les Canadiens détenants des propriétés en Floride dans un Société à Responsabilité limitée.

Quand un citoyen canadien résidant au Canada achète de l’immobilier à revenu dans l’état de la Floride dans une SRL, la structure devrait fournir une protection contre les créanciers pour l'individu. Par exemple, si Pierre et Marie, sa femme, (des citoyens canadiens résidants au Canada) achètent un immeuble en copropriété dans une SRL, la SRL est propriétaire de l’immeuble et Pierre et Marie sont les partenaires dans la SRL. Si le locataire de l’immeuble se blesse, la SRL sera poursuivie en tant que propriétaire du bien, mais Pierre et Marie seront protégés de toute réclamation.

Problèmes
La SRL présente plusieurs problèmes. Premièrement, elle se termine lorsque le premier conjoint décède, puisqu’il doit y avoir deux parties dans un partenariat. Et alors? Une autre SRL ne peut pas être créée, puisqu’il est nécessaire d’avoir deux partenaires, alors qu’un seul est encore vivant.

Au décès du conjoint, sa succession sera soumise à l'homologation et au règlement de la succession dans le comté de la Floride où la propriété est située. Le processus d'homologation est lent et long, gèle la succession et peut coûter jusqu'à 3 pour cent, (3%) de la juste valeur marchande de la propriété au décès du conjoint.

L’Homologation sera requise puisqu’en vertu de la loi de la Floride, les SRL sont des actifs incorporels, qui doivent passer par l'homologation au décès, sauf si l'intérêt est détenu dans une fiducie révocable, telle qu'une fiducie transfrontalière. Pour éviter l'homologation, chaque conjoint doit avoir un CBT qui détient l'intérêt du partenariat.

Les préoccupations auxquelles les Canadiens font face lors de l’achat d’une Propriété aux États-Unis.

Les clients canadiens font appel à l'expertise transfrontalière d’Altro et Associés tous les jours, afin d’établir la meilleure structure pour l’achat de propriétés de vacances ou à revenus aux États-Unis. Avec la crise dans le marché immobilier aux États-Unis, il n'y a pas de meilleur moment pour les investisseurs pour acheter de l'immobilier. Toutefois, les Canadiens doivent être conscients de certains risques qui peuvent affecter leur investissement.

L’homologation américaine est le premier enjeu auquel les Canadiens doivent faire face. L'homologation est une procédure juridique utilisée pour régler les biens du défunt. L’Homologation devra être effectuée aux Etats-Unis, même si votre succession est déjà homologuée au Canada. L'homologation est une procédure longue et coûteuse. Un avocat de la Floride est autorisé par la loi à facturer 3% de la juste valeur marchande de vos actifs américains au moment du décès, à titre d’honoraires juridiques.

L'inaptitude est le second enjeu pour les Canadiens. Si un bien est détenu au nom de deux personnes ou plus (comme mari et femme) et que l'une des personnes devient inapte, la propriété sera gelée. Une autre procédure longue et coûteuse, intitulée ‘Guardianship,’  sera nécessaire pour dégeler la propriété.

De nouvelles règles américaines sur l'impôt des successions nous affectent ici au Canada

Un dollar canadien fort et une chute des prix de l'immobilier américain a mené à une frénésie d'achat au sud de la frontière. Les Canadiens sont maintenant les plus gros acheteurs non-américains d’immobilier aux États-Unis. De nombreux acheteurs, cependant, n'ont qu'une vague idée de leur engagement d'un point de vue fiscal et juridique.

«Il est présumé que les lois canadiennes et américaines soient les mêmes. Beaucoup de gens découvrent une réalité opposée après l'achat », a déclaré David Altro, un avocat de Montréal qui pratique également le droit aux États-Unis.

Altro, qui se specialise dans les questions fiscales, les biens et la planification successorale transfrontalière, est l'auteur du livre intitulé « Owning U.S. property – the Canadian way. »

Le crash du marché de l'immobilier américain de 2008 a amené le chagrin, le découragement et une dépréciation importante des valeurs des propriétés à travers le pays. Si vous êtes un résident canadien qui détenez de l'immobilier américain dans une société, il y a une possibilité pour vous de profiter de cette malheureuse crise.

Un des principaux désavantages de détenir des biens américains dans une société est le taux d'imposition sur le gain en capital extrêmement élevé. Celui-ci est de 35%, avec un supplément de 5,5% si l'immeuble est en Floride (ce taux varie d'un État à l’autre). L’impôt sur le gain en capital est déclenché au moment où vous vendez votre propriété. Généralement, la juste valeur marchande d'un bien immobilier est à la baisse depuis 2008. La valeur des propriétés n'a pas encore commencé à augmenter, mais nous soupçonnons qu’au cours des prochaines années cela sera le cas. C'est à vous de profiter de cette occasion alors que les valeurs des propriétés sont encore faibles. Afin d'économiser l'impôt sur les sociétés américaines lors d'une vente future avec profit, vous pouvez envisager de vendre votre propriété à une structure fiscale plus efficace et bénéficier d’une imposition plus favorable sur le gain.
