2026 NOMINATIONS FOR ELECTION TO THE BOARD OF DIRECTORS HEREFORDS AUSTRALIA LIMITED (ACN 86 121 714 332)

In accordance with the Company Constitution, nominations are called for the election of three (3) Directors to the Board of Directors of Herefords Australia Limited.

The total number of Directors on the Board of Herefords Australia Limited, elected by members will be eight (8).

The Board is able to appoint up to two (2) directors in addition to those elected by members under the constitution.

There are no State boundaries governing the election of directors, candidates from any State with the highest number of votes will be elected.

In the event that nominations exceed the required number of Director positions, a ballot will be conducted. Each voting member will vote for a maximum total of three (3) Directors.

To be eligible for election, each nominee must be a member of the company or the nominated representative of a member and must be appointed in accordance with the Constitution (see attached information sheet). Please note that each nominee must be nominated by two (2) members. The two (2) nominating members must be entitled to vote as per the Herefords Australia Constitution.

If you wish to nominate a person for election, the Nomination Form must be signed by both the two nominators and the nominee and returned to the Company prior to the closing date for the return of nominations. The nominators and nominee's signature may be forwarded on a separate document if use of the same form is inconvenient. The nominee's consent must be received prior to the date on which nominations close. If you wish to nominate more than one eligible member, a separate Nomination Form can be obtained from the Company.

Nominations close at 5:00 pm on Tuesday 14th April 2026 at the Company’s office in Armidale and completed 2026 DIRECTOR'S NOMINATION FORMS should be emailed or posted to: Herefords Australia, Locked Bag 7, ARMIDALE NSW 2350, Email: hchandler@herefordsaustralia.com.au

Please note that completed 2026 Herefords Australia Director Nominee Profile Form should accompany the nomination and will be used in the event of a ballot being required.

If a Ballot is required, it will be conducted online with ballot forms and the 2026 AGM Notice of Meeting posted to those members for whom we do not have electronic contact details.
